UNLEASHED WOOCOMMERCE INTEGRATION
SHRINKWRAP SOFTWARE LICENSE AGREEMENT
This Unleashed WooCommerce Integration Software License Agreement (the “Agreement”) is entered into by and between Gnar Software Ltd., a limited company with its principal place of business at Kent House, High Street, Cranleigh, GU6 8EF, United Kingdom (“Licensor”), and the individual or entity opening the software packaging or downloading the software (“Licensee”).
By opening the sealed software packaging or by downloading and installing the software, Licensee agrees to be bound by the terms of this Agreement. If Licensee does not agree to these terms, Licensee should not open the package or use the software.
1. DEFINITIONS
1.1 “Software” refers to the Unleashed WooCommerce Integration software developed by Licensor.
1.2 “License” refers to the permission granted by Licensor to Licensee for the use of the Software under the terms of this Agreement.
2. LICENSE GRANT
2.1 Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, and limited license to use the Software for internal purposes.
2.2 Licensee may modify the Software for its own internal use but is prohibited from distributing, selling, or otherwise making the Software available to third parties.
2.3 The Software is accessible only while the Licensee’s subscription is active. If the subscription becomes inactive due to non-payment or other reasons, Licensee’s access to the Software will be revoked.
3. INTELLECTUAL PROPERTY
3.1 Licensee acknowledges that the Software is the intellectual property of Licensor and is protected by copyright and other applicable laws.
3.2 Licensee agrees not to remove, alter, or obscure any copyright notices or proprietary markings within the Software.
4. SUPPORT AND MAINTENANCE
4.1 Licensor may offer support and maintenance services separately from this Agreement. Licensee can inquire about and purchase these services if desired.
5. DISCLAIMER OF WARRANTY
5.1 THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES, INCLUDING CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES.
6. TERMINATION
6.1 Licensor may terminate this License if Licensee breaches any of the terms and conditions of this Agreement.
6.2 Upon termination, Licensee shall immediately cease using the Software and destroy all copies of the Software in their possession.
7. GOVERNING LAW
7.1 This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
IN WITNESS WHEREOF, Licensee has accepted this Software License Agreement by opening the sealed software packaging or downloading and installing the software.
